Please read these Terms of Service carefully before using GoINNga. By registering an account or using our platform, you agree to be bound by these terms. If you do not agree, you must not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between GoINNga Technologies Pvt Ltd ("GoINNga", "we", "us", or "our"), a company incorporated under the Companies Act, 2013 in India, and you, the agency, organisation, or individual ("Customer", "you", or "your") accessing or using the GoINNga platform (the "Service").

By clicking "I agree", completing account registration, or otherwise accessing the Service, you represent that (a) you are authorised to enter into contracts on behalf of your business entity, (b) your business entity is validly constituted under applicable law, and (c) you are at least 18 years of age.

These Terms may be updated from time to time. Continued use of the Service after a change constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or in-app notification.

2. Services Description

GoINNga is a cloud-based business-to-business (B2B) travel SaaS platform designed for Indian travel agencies, destination management companies (DMCs), and tour operators. The Service includes the following capabilities, subject to your subscription plan:

  • Lead & CRM Management — Capture, organise, and convert travel enquiries into booked trips.
  • Quote Builder — Create, customise, and share professional travel quotations with clients.
  • Booking Management — Track bookings, passenger details, supplier confirmations, and travel documents.
  • Supplier Management — Maintain a database of hotels, transport providers, and activity vendors.
  • Sub-Agent Portal — Onboard and manage sub-agents or channel partners with scoped access.
  • Financial Reporting — Revenue, margin, and performance dashboards.
  • AI-Assisted Features — AI-generated itinerary suggestions and content drafting tools (availability depends on plan).
  • Integrations — Webhook and API access for connecting third-party tools (higher-tier plans).

GoINNga reserves the right to modify, enhance, or discontinue features of the Service with reasonable notice. Where a feature is discontinued that materially affects your current plan, we will offer a prorated refund or plan substitution.

3. User Accounts & Security

Account Registration. To use the Service, you must register an agency account by providing accurate, current, and complete information. You are responsible for keeping your account information up to date.

Agency Code. Each registered agency is assigned a unique agency code (3–5 characters). This code identifies your organisation within the platform and appears on all quotations and shared documents.

Credentials. You are responsible for maintaining the confidentiality of your login credentials. You must not share passwords across users; each team member must have an individual account. GoINNga enforces single-session enforcement per user account — logging in from a new device terminates all prior sessions.

Account Security. You agree to (a) use a strong password of at least 8 characters; (b) notify us immediately at security@goinnga.com upon becoming aware of any unauthorised access; and (c) not use the Service from unmanaged or shared public devices.

Administrator Responsibility. The Agency Administrator account is responsible for all activity conducted under the agency's account, including actions taken by invited team members. GoINNga is not liable for losses arising from unauthorised use where the Customer fails to promptly report the compromise.

4. Subscription & Billing

Plans. GoINNga offers multiple subscription tiers (Starter, Growth, Agency, Enterprise) with different feature sets, seat limits, and quote quotas. Current pricing is available at goinnga.com/pricing.

Trial Period. New registrations are granted a 14-day free trial on the Agency plan with no credit card required. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Unsubscribed accounts are suspended (data retained for 30 days).

Billing Cycle. Subscriptions are billed in advance on a monthly or annual basis in Indian Rupees (INR). Annual plans are eligible for a discount as specified on the pricing page.

Taxes. All prices are exclusive of applicable Goods and Services Tax (GST). GST will be added at the prevailing rate. You are responsible for providing a valid GSTIN if you wish to claim input tax credit. A GST-compliant tax invoice will be issued for each billing cycle.

Payment. Payments are processed through our authorised payment gateway. GoINNga does not store your card or bank account details on its servers. By providing payment information, you authorise GoINNga to charge the applicable subscription fees.

Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 3 business days before the renewal date via your account settings.

Refunds. Monthly subscriptions are non-refundable for the current billing period. Annual subscriptions may be refunded on a prorated basis within 30 days of payment, less any applicable processing fees. Trial period extensions and refunds are at GoINNga's sole discretion.

Suspension for Non-Payment. If a payment fails, we will notify you and retry after 3 business days. Accounts overdue by more than 7 days may be suspended. Data is retained for 30 days after suspension before permanent deletion.

5. Acceptable Use

You agree to use the Service only for lawful purposes in connection with your travel business operations. You must not:

  • Use the Service to store, transmit, or distribute fraudulent, defamatory, or illegal content;
  • Impersonate another travel agency, DMC, or individual;
  • Reverse-engineer, decompile, or attempt to extract the source code of the platform;
  • Use automated scraping, bots, or crawlers against the Service;
  • Resell, sublicense, or white-label GoINNga's platform as your own product without a written reseller agreement;
  • Upload or transmit viruses, malware, or any code designed to disrupt the Service;
  • Circumvent rate limits, access controls, or IP restrictions;
  • Process personal data of individuals under 18 years of age without appropriate parental consent;
  • Use the Service in any manner that violates applicable Indian law, including but not limited to the Information Technology Act, 2000, the Consumer Protection Act, 2019, or FEMA regulations pertaining to outbound tourism.

GoINNga reserves the right to investigate suspected violations and suspend or terminate accounts found to be in breach, without prior notice in cases of serious or ongoing violations.

6. Data & Privacy

Your Data. You retain ownership of all business data (leads, quotes, bookings, client records) you input into the Service ("Customer Data"). GoINNga processes Customer Data solely to provide and improve the Service.

Data Processing Agreement. By accepting these Terms, you enter into a Data Processing Agreement with GoINNga, under which GoINNga acts as a data processor on your behalf for Customer Data relating to your clients, and as an independent data controller for your agency's account data.

Privacy Policy. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Export. You may export your Customer Data at any time in standard formats via your account settings or by contacting support.

Confidentiality. GoINNga treats your Customer Data as confidential and will not disclose it to third parties except as necessary to provide the Service, comply with legal obligations, or as otherwise specified in the Privacy Policy.

7. Intellectual Property

GoINNga's IP. The Service, including all software, interfaces, logos, designs, and documentation, is the exclusive intellectual property of GoINNga Technologies Pvt Ltd and is protected under Indian and international copyright, trademark, and trade secret laws. Nothing in these Terms transfers any ownership rights to you.

Licence to Use. GoINNga grants you a non-exclusive, non-transferable, revocable licence to access and use the Service during your subscription period, solely for your internal travel business operations.

Your IP. You retain all intellectual property rights in your branding assets (logo, brand colours, tagline) that you upload to GoINNga. By uploading such assets, you grant GoINNga a limited licence to use them solely for rendering your branded quotations and documents within the platform.

Feedback. If you provide suggestions, bug reports, or feature requests ("Feedback"), you grant GoINNga an irrevocable, royalty-free licence to use such Feedback in any manner without obligation to you.

8. Limitation of Liability

Disclaimer of Warranties. The Service is provided "as is" and "as available". GoINNga makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted service. We do not warrant that the Service will be error-free or that defects will be corrected.

Cap on Liability. To the maximum extent permitted by applicable law, GoINNga's aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total subscription fees paid by you in the 3 months preceding the event giving rise to the claim.

Exclusion of Consequential Damages. In no event shall GoINNga be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm, even if GoINNga has been advised of the possibility of such damages.

Force Majeure. GoINNga is not liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, power failures, internet outages, government actions, or third-party service failures.

Travel Outcomes. GoINNga is a technology platform only. We are not responsible for the quality, safety, legality, or availability of travel services provided by third-party suppliers that you manage through the platform. All commercial and contractual relationships with your clients and suppliers remain your sole responsibility.

9. Termination

By You. You may terminate your account at any time by providing written notice to legal@goinnga.com or through your account settings. Termination takes effect at the end of the current billing cycle. No refund is provided for the remaining period.

By GoINNga. GoINNga may suspend or terminate your account immediately if: (a) you breach these Terms and fail to cure the breach within 7 days of notice; (b) you use the Service in a manner that poses a security risk or legal liability; (c) your subscription fees remain unpaid for more than 14 days; or (d) we are required to do so by law.

Effect of Termination. Upon termination, your access to the Service ceases immediately. GoINNga will retain your Customer Data for 30 days after termination, during which you may request a data export. After 30 days, Customer Data will be permanently deleted, except where retention is required by law (e.g., GST audit records for 7 years).

Survival. Sections relating to Intellectual Property, Limitation of Liability, Governing Law, and any accrued payment obligations survive termination.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.

Dispute Resolution. Prior to initiating any legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiations for a period of 30 days. If the dispute is not resolved within this period, either party may refer the matter to the competent courts in Bengaluru.

Compliance with Indian Law. Both parties agree to comply with all applicable Indian laws and regulations, including but not limited to the Information Technology Act, 2000, the IT (Amendment) Act, 2008, the Consumer Protection Act, 2019, and the Digital Personal Data Protection Act, 2023 (once notified), as applicable to their respective roles.
